(CNSX: EZM) ("EasyMed"� or the "Company") is pleased to announce that it has entered into a Memorandum of Understanding (MOU)with Openstream Inc. ("Openstream"�) New Jersey, USA to establish a Joint Venture in the United States to develop and market telemedicine products in view of a commercial corporate service offering in the United States and Globally. The terms of the MOU are subject to the execution of a definitive agreement by the two parties.
Over the past few years, Openstream has perfected an innovative multi-modal mobile platform. Built on
Open W3C and OSGi standards, Openstream's platform leverages the path-breaking Context Delivery Architecture (CoDA�), which intelligently adapts to the end-user's context-of-consumption, mode and device. Today, Openstream's Cue-me+Smart Messaging CoDA Platform is the only context-aware multimodal platform built on open standards that facilitate single authoring of rich-mobile applications that can run on all popular mobile phones, PDAs and tablets currently available in the marketplace. Using their Eclipse based cue-me studio, enterprises & ISVs can rapidly develop, deploy and manage end-to-end secure mobile solutions that are highly scalable.
Openstream Inc. offers a variety of innovative mobile solutions for enterprises; both in licensed as well as
hosted model (usage based) that are further enhanced by through their enterprise applications and enterprise services groups. Together these groups offer a broad range of services, including custom designed mobile applications, strategic planning, project management, training and implementation services.
Main terms of the agreement are:
Openstream Inc. (Openstream�) and EasyMed Services Inc (EasyMed) will jointly incorporate a subsidiary in USA, with an equity partnership of 50% for each of the companies. The name of this new, joint company will be decided by mutual consent.
All Global revenues generated by any new healthcare company developed jointly by the two
companies will be split 50/50 by EasyMed and Openstream respectively.
All existing and new healthcare products developed by Openstream or developed jointly by the two companies will be white labelled under the EasyMed brand.
Openstream and EasyMed will use their reasonable commercial efforts to progress and grow the newly formed US subsidiary under the label of the new US subsidiary.
Openstream and EasyMed Services Inc. will combine their efforts to develop new healthcare products for the new subsidiary.
